Terms of Service

Welcome to Alma. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Atlas IntelliTek, Inc. ("Atlas IntelliTek," "Company," "we," "us," or "our"), the operator of the Alma platform, accessible at joinalma.ai and through our mobile applications (collectively, the "Platform").

By accessing, browsing, or using the Platform in any way, including registering an account, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, Acceptable Use Policy, and Cookie Policy, all of which are incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Platform.

You must be at least 13 years of age to use the Platform. If you are between the ages of 13 and 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. By using the Platform, you represent and warrant that:

• You are at least 13 years old.
• You are a current student, prospective student, alumnus/alumna, or otherwise affiliated with an accredited educational institution, or are seeking mentorship in a professional capacity.
• You have the legal capacity to enter into a binding agreement.
• Your use of the Platform does not violate any applicable law or regulation.
• You have not been previously suspended or removed from the Platform.

We reserve the right to request verification of your age, educational affiliation, or identity at any time.

To access certain features of the Platform, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information during the registration process.
• Maintain and promptly update your account information to keep it accurate, current, and complete.
• Maintain only one account per person. Multiple accounts for the same individual are not permitted.
• Keep your login credentials confidential and not share them with any third party.
• Immediately notify us of any unauthorized use of your account or any other breach of security at support@joinalma.ai.
• Accept responsibility for all activities that occur under your account, whether or not you have authorized such activities.

We reserve the right to suspend or terminate accounts that contain false or misleading information, or that violate these Terms.

Alma is an AI-powered mentorship platform designed to connect students with alumni mentors who share similar backgrounds, interests, and career paths. The Platform provides the following core services:

• AI-Powered Matching: Our proprietary algorithms analyze your profile, goals, and preferences to identify and recommend relevant mentor matches.
• AI-Drafted Introductions: The Platform uses artificial intelligence to generate personalized introduction messages on your behalf, which you can review, edit, and send to prospective mentors.
• Messaging: Secure, direct messaging between connected users for ongoing mentorship conversations.
• Credits System: A credit-based economy that governs the number of introduction requests you can send.
• AI Chat Assistant: An AI conversational agent that helps you discover mentors, explore opportunities, and navigate the Platform.

Alma facilitates connections but does not guarantee any particular outcome from mentorship interactions. We are not a party to any agreement or relationship formed between users.

The Platform operates on a credit-based system. Credits are a virtual currency used to request introductions to mentors.

5.1 Credit System

• New users receive a limited number of complimentary credits upon registration.
• Additional credits are available through subscription plans or one-time top-up purchases.
• The number of credits required for an introduction varies depending on the mentor's tier (e.g., Bronze: 1 credit, Silver: 2 credits, Gold: 3 credits).
• Unused subscription credits and top-up credits do not carry over to the next billing period and expire when your new monthly credits are granted. Founding member bonuses, mentor earnings, and referral bonuses are permanent and do not expire.
• If a mentor does not respond to your introduction request within 7 days, the credits used for that request will be automatically returned to your account.

5.2 Subscription Plans

• Alma offers various subscription tiers (Free, Starter, Pro, and Premium) with different credit allocations and features.
• Subscriptions are billed on a monthly or annual basis, as selected at the time of purchase.
• You may upgrade, downgrade, or cancel your subscription at any time through your account settings.
• Upon upgrading, you will be charged a prorated amount for the remainder of the current billing period. Upon downgrading, the change takes effect at the start of the next billing period.

5.3 Payments

• All payments are processed securely through Stripe, our third-party payment processor. By making a purchase, you agree to Stripe's terms of service.
• Prices are displayed in United States Dollars (USD) unless otherwise specified.
• You are responsible for any applicable taxes associated with your purchases.

5.4 Cancellation & Credits Policy

• All subscription payments are non-refundable. You may cancel your subscription at any time, and you will retain access until the end of your current billing period.
• Credits that have been used to send introduction requests are non-refundable.
• Unused subscription credits and top-up credits do not carry over to the next billing cycle. Only founding member bonuses, mentor earnings, and referral bonuses are permanent.
• Top-up credit purchases are non-refundable once the credits have been added to your account.

5.5 Referral Program

• Each user receives a unique referral link that can be shared with others.
• When a new user signs up using your referral link, both you and the new user receive 20 bonus credits.
• Referral credits are awarded after the referred user successfully completes account registration and onboarding.
• Self-referrals (using your own referral link to create another account) are not permitted and will not result in bonus credits.
• Atlas IntelliTek reserves the right to modify the referral program terms, credit amounts, or discontinue the program at any time, with reasonable notice to users.
• Abuse of the referral system, including creating fake accounts to earn referral credits, may result in forfeiture of referral credits and account suspension.

5.6 Escrow & Auto-Refund

• When you send an introduction request to a mentor, the credit cost is placed in escrow (held temporarily) until the mentor responds.
• If the mentor accepts your request, the escrowed credits are settled: a portion goes to the mentor as an earning, and a portion is retained by the Platform as a service fee.
• If the mentor declines your request, 100% of the escrowed credits are immediately refunded to your available balance.
• If the mentor does not respond within 7 days, the request automatically expires and 100% of the escrowed credits are refunded to your available balance. You will be notified via email and push notification when this occurs.

"User Content" refers to any information, text, images, or other materials that you upload, post, submit, or transmit through the Platform, including but not limited to profile information, messages, and introduction requests.

6.1 Ownership

You retain ownership of all User Content that you submit to the Platform. Atlas IntelliTek does not claim ownership of your User Content.

6.2 License Grant

By submitting User Content, you grant Atlas IntelliTek a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content solely in connection with operating, improving, and providing the Platform and its services. This license continues until you delete your User Content or your account, except to the extent that your User Content has been shared with other users or third parties and they have not deleted it.

6.3 Representations

You represent and warrant that: (a) you own your User Content or have the necessary rights and permissions to grant the license described above; (b) your User Content does not infringe, misappropriate, or violate any third party's intellectual property rights, privacy rights, or other legal rights; and (c) your User Content complies with these Terms and all applicable laws.

You agree not to engage in any of the following prohibited activities while using the Platform:

• Harassment or Bullying: Engaging in any form of harassment, bullying, intimidation, or threatening behavior toward any user.
• Spam: Sending unsolicited, bulk, or repetitive messages, or using the Platform for unauthorized advertising or promotional purposes.
• Impersonation: Impersonating any person or entity, or falsely claiming an affiliation with any person or entity.
• Scraping or Data Collection: Using automated tools, bots, scrapers, crawlers, or any other means to access, collect, or extract data from the Platform without our express written consent.
• Illegal Activity: Using the Platform for any purpose that is unlawful or prohibited by these Terms, or to solicit the performance of any illegal activity.
• Solicitation: Using the Platform to solicit users for commercial purposes, pyramid schemes, multi-level marketing, or any other unauthorized commercial solicitation.
• Security Violations: Attempting to probe, scan, or test the vulnerability of the Platform or any related system or network, or attempting to breach any security or authentication measures.
• Interference: Interfering with or disrupting the Platform, servers, or networks connected to the Platform, or disobeying any requirements, procedures, policies, or regulations of such networks.
• Inappropriate Content: Posting or transmitting any content that is obscene, pornographic, violent, discriminatory, or otherwise objectionable.
• Sharing Private Information: Sharing another user's personal information without their explicit consent.

Violation of these prohibitions may result in immediate suspension or termination of your account, and we reserve the right to report such violations to law enforcement authorities.

The Platform utilizes artificial intelligence to generate content, including but not limited to draft introduction messages, mentor recommendations, and conversational responses from the AI chat assistant.

• AI-generated drafts are provided as suggestions only. You are responsible for reviewing, editing, and approving any AI-drafted content before it is sent to another user.
• Once you send an AI-assisted message, you assume full responsibility for its content.
• AI-generated content may not always be accurate, complete, or appropriate. You acknowledge that AI outputs may contain errors, biases, or inaccuracies.
• Atlas IntelliTek does not guarantee the accuracy or reliability of any AI-generated content and disclaims all liability arising from your reliance on such content.
• We do not use your personal data or messages to train general-purpose AI models. AI processing of your data is limited to providing you with the Platform's services.

The Platform, including its original content (excluding User Content), features, functionality, design, graphics, logos, and software, is and will remain the exclusive property of Atlas IntelliTek and its licensors. The Platform is protected by copyright, trademark, trade secret, and other intellectual property and proprietary rights laws of the United States and foreign countries.

The "Alma" name, the Alma logo, the "Atlas IntelliTek" name, and all related names, logos, product and service names, designs, and slogans are trademarks of Atlas IntelliTek or its affiliates. You may not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Platform are the trademarks of their respective owners.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purpose, subject to these Terms. This license does not include the right to: (a) modify or copy the Platform's source code; (b) create derivative works based on the Platform; (c) reverse engineer, decompile, or disassemble the Platform; or (d) remove any copyright, trademark, or other proprietary notices from the Platform.

Your privacy is important to us. Our Privacy Policy explains how we collect, use, store, and disclose your personal information. By using the Platform, you consent to our collection and use of your information as described in the Privacy Policy. We encourage you to review the Privacy Policy carefully.

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, Atlas IntelliTek does not warrant or represent that:

• The Platform will be uninterrupted, timely, secure, or error-free.
• The results obtained from using the Platform will be accurate or reliable.
• Any mentor relationship or connection made through the Platform will result in any particular outcome, benefit, or opportunity.
• The quality of any mentorship, advice, information, or other material obtained through the Platform will meet your expectations.
• Any errors in the Platform will be corrected.

You expressly agree that your use of the Platform is at your sole risk. Alma facilitates introductions and connections; we do not employ, endorse, or vouch for any user on the Platform. You are solely responsible for evaluating the suitability and trustworthiness of any user you interact with.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ATLAS INTELLITEK, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE PLATFORM;
• ANY CONDUCT OR CONTENT OF ANY USER OR THIRD PARTY ON THE PLATFORM;
• ANY CONTENT OBTAINED FROM THE PLATFORM;
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT;
• ANY AI-GENERATED CONTENT, RECOMMENDATIONS, OR SUGGESTIONS PROVIDED THROUGH THE PLATFORM.

IN NO EVENT SHALL ATLAS INTELLITEK'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE PLATFORM EXCEED THE GREATER OF: (A) THE AMOUNTS YOU HAVE PAID TO ATLAS INTELLITEK IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

You agree to defend, indemnify, and hold harmless Atlas IntelliTek, its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to reasonable attorneys' fees) arising from or related to: (a) your use of the Platform; (b) your User Content; (c) your violation of these Terms; (d) your violation of any rights of another person or entity; or (e) your violation of any applicable law or regulation.

Atlas IntelliTek reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You agree not to settle any matter without our prior written consent.

14.1 Termination by You

You may terminate your account at any time by using the account deletion feature in your account settings or by contacting us at support@joinalma.ai. Upon termination, your right to use the Platform will immediately cease.

14.2 Termination by Us

We may suspend or terminate your account and access to the Platform at any time, with or without cause or notice, including if we reasonably believe that you have violated these Terms. We may also terminate or suspend the Platform itself, in whole or in part, at any time.

14.3 Effects of Termination

• Your license to use the Platform will immediately terminate.
• Unused credits will be forfeited and are non-refundable upon termination.
• Any active subscriptions will be cancelled, and no further charges will be made.
• Your profile and User Content will be removed from the Platform within 30 days, subject to our data retention policies as described in our Privacy Policy.
• Sections of these Terms that by their nature should survive termination will survive, including but not limited to Sections 6 (User Content), 9 (Intellectual Property), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), and 16 (Dispute Resolution).

15.1 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules then in effect, except as modified by this section. The arbitration shall be conducted by a single arbitrator. The seat of arbitration shall be Wilmington, Delaware, United States. The language of the arbitration shall be English.

15.2 Class Action Waiver

YOU AND ATLAS INTELLITEK AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.

15.3 Small Claims Exception

Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes or claims within the scope of that court's jurisdiction.

15.4 Opt-Out

You may opt out of this arbitration agreement by sending written notice to support@joinalma.ai within 30 days of first accepting these Terms. If you opt out, you and Atlas IntelliTek may still seek to resolve disputes in accordance with the other provisions of these Terms.

We reserve the right to modify or replace these Terms at any time, in our sole discretion. If we make material changes, we will notify you by posting the updated Terms on the Platform and updating the "Last updated" date at the top of this page. We may also provide notice through email or an in-app notification for significant changes.

Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Platform and close your account. It is your responsibility to review these Terms periodically.

These Terms and any dispute arising out of or related to these Terms or the Platform shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions.

To the extent that any lawsuit or court proceeding is permitted hereunder, you and Atlas IntelliTek agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware, for the purpose of litigating all such disputes.

• Entire Agreement: These Terms, together with the Privacy Policy, Acceptable Use Policy, and Cookie Policy, constitute the entire agreement between you and Atlas IntelliTek regarding the Platform and supersede all prior agreements.
• Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
• Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
• Force Majeure: Atlas IntelliTek shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, labor disputes, government actions, or internet disturbances.
